Corporate Governance Manager

Fresh People ate recruiting on behalf of a high-growth, private equity-backed professional services business undergoing significant expansion across the South East and London.

As part of this growth, an opportunity has arisen for a Corporate Governance Manager to join a well-established and highly regarded Corporate Governance team. This is a pivotal role offering the chance to manage your own client portfolio, support senior leadership, and play a key part in the continued development of the function.

This is a specialist, non-administrative position, suited to an experienced governance professional looking to step into a broader, more influential role within a scaling business.

The Role

You will be responsible for managing a portfolio of corporate clients and LLPs, delivering high-quality governance and company secretarial services.

Key responsibilities include:

  • Managing company formations and LLP incorporations
  • Supporting corporate restructures and reorganisations
  • Maintaining statutory registers and company records
  • Preparing and submitting Confirmation Statements and statutory filings
  • Drafting board minutes, resolutions and governance documentation
  • Managing day-to-day company secretarial matters including director changes and registered office updates
  • Conducting Companies House searches and ensuring compliance
  • Supporting the Governance Manager with departmental workload and strategic initiatives
  • Supervising and developing junior team members and trainees

About You

We are seeking a confident, technically strong governance professional who can operate autonomously while contributing to a collaborative team environment.

You will have:

  • CGI qualification (essential or close to completion)
  • Proven experience in corporate governance, company secretarial or compliance roles
  • Strong knowledge of statutory requirements and Companies House processes
  • Excellent organisational skills with the ability to manage multiple priorities
  • Strong communication skills with the ability to engage senior stakeholders
  • Experience using governance systems such as Diligent Entities (desirable)
  • A proactive mindset with the ability to problem solve and use initiative
