BB3 1AE.ResponsibilitiesLead and advise on mergers, acquisitions, disposals, and joint ventures.Conduct and manage legal due diligence exercises, providing clear and actionable reports.Draft, review, and negotiate key transactional documents such as SPAs, shareholder agreements, and NDAs.Collaborate with internal stakeholders and external advisors to ensure successful deal outcomes.Provide expert legal advice on company law, corporate structuring, reorganisations, and group restructures.Advise on corporate governance matters, including board processes, director duties, and shareholder issues.Monitor and ensure compliance with relevant laws, regulations, and best practice standards.Assist in maintaining robust governance frameworks and internal policies.The ideal candidateYou are a qualified solicitor in England & Wales with at least 2 years of post-qualification experience in corporate law, having trained at a leading law firm or developed a strong in-house corporate/commercial background. You bring proven expertise in managing M&A transactions with strong organisation and project management skills, together with the ability to prioritise effectively.
