Interim Deputy Company Secretary - Financial Services

We are partnering with a leading Financial Services Business based in Nottingham that is looking for an experienced Interim Deputy Company Secretary to join its high-performing governance team.

This is a fantastic opportunity for a seasoned CoSec professional to take on a pivotal 6-month contract (with a strong likelihood of extending to 12 months). You will play a key role in supporting the Group Company Secretary, ensuring the business maintains the highest standards of corporate governance within a regulated environment.

What You'll Be Doing

As the Deputy Company Secretary, you will lead on several critical workstreams, including:

    \n
  • Board & Committee Management: End-to-end management of the Board cycle, including the preparation of high-quality agendas, board packs and minute-taking for key committee meetings
\n
    \n
  • Corporate Governance: Advising on best practice governance and ensuring compliance with the UK Corporate Governance Code and relevant financial regulations
\n
    \n
  • Statutory Compliance: Managing all UK entity corporate filings and maintaining statutory registers to ensure they are airtight and audit-ready
\n
    \n
  • Stakeholder Engagement: Acting as a trusted point of contact for the Chair, Non-Executive Directors and senior management during on-site Board sessions
\n
    \n
  • Project Support: Assisting with the Annual Report process and any ad-hoc corporate transactions or subsidiary restructuring projects
\n

About You

We are looking for a technically gifted professional with the gravitas to operate at a Deputy level. You should have:

    \n
  • CGI (ICSA) Qualification: You will ideally be a Graduate or Associate member of the Chartered Governance Institute
\n
    \n
  • Financial Services Experience: Previous experience working within a regulated FS environment is highly desirable
\n
    \n
  • Boardroom Confidence: Proven experience managing Board-level stakeholders and producing minutes for complex, high-level meetings
\n
    \n
  • Software Proficiency: Experience with Board Portals (eg, Diligent, BoardIntelligence) and entity management software
\n
    \n
  • Proactive Mindset: As an interim, you should be comfortable "hitting the ground running" with minimal supervision
\n
