EMEA Legal Counsel - Assistant Vice President

About the role
iCapital is hiring anAssociate Vice President, EMEA Legal Counsel to join its International Legal Team and work with the broader iCapital team in EMEA. The focus will include representing private funds sponsored in EMEA (predominantly Luxembourg- and Cayman-domiciled funds) on a wide spectrum of matters including fund formation, marketing, structuring and distribution matters. The ideal candidate should have experience in drafting and negotiating fund documents, side letters, placement agreements and related fund materials, and have the capability of workshopping and ultimately launching new fund structures and strategic initiatives at iCapital. The candidate will work closely with the broader International Legal team, as well as the Client Solutions, Product Development and Structuring, Regulatory & Compliance and other operational teams at iCapital. This is a unique opportunity to work with a dynamic team and meaningfully contribute to the expansion of a growing business.
Responsibilities
Draft and negotiate various agreements with counterparties including many of the world’s largest and most sophisticated fund managers and leading distribution agents
Draft and review private fund offering materials, partnership agreements and related private fund legal documentation
Coordinate with outside legal counsel with respect to a variety of issues including regulatory, corporate and fund investment work
Engage in, solution and execute on new initiatives, structures and business lines as the company grows and evolves
Drive legal projects with on-time and on-budget results
Candidate Profile
Desire to work at a high-growth company in a fast-paced environment, reshaping the alternative investment ecosystem
2-3 years of fund formation experience within the Investment Management space (Private Equity and Hedge Fund)
Qualified in Luxembourg, U.K., a member in good standing of the New York bar, or qualified in another jurisdiction
Strong knowledge of Luxembourg corporate structures and regulatory matters
Knowledge of the Investment Company Act of 1940, the Investment Advisers Act of 1940 and the Securities Act of 1933 is a plus
Knowledge of fund and cross-border regulations is a plus
Excellent interpersonal and communication skills
Willingness to learn new topics and work in an evolving business environment
High level of integrity
A proactive attitude and ability to work cross-functionally an ability to think through complex concepts and tackle them in an organized and efficient manner
Employees in this role will work in the office Monday-Thursday, with the flexibility to work remotely on Friday.
