As General Manager and Head of Legal Department, the incumbent is responsible for managing and strategic planning for the overall direction of Legal Department of Mitsubishi Heavy Industries Asia Pacific Pte. Ltd. (MHI-AP) and work closely with all business units, by rendering legal and regulatory advice and assistance on all legal matters arising from the business of Mitsubishi Heavy Industries Group (MHI) and its group companies located in the Asia Pacific region, India and Saudi Arabia.Acting also as Deputy General Manager of the Corporate Strategy Department, the incumbent is also responsible to support the General Manager of the Corporate Strategy Department and work closely with MHI HQ Global Operations & Strategic Relations Department and MHI regional officers and MHI group companies in APAC and India for regional strategy planning.The incumbent also responsible to support Compliance Manager of MPW-AP and work closely with the relevant departments and MPW-AP associated companies as well as MHI HQ Energy Domain Internal Control Department for ensuring compliance with laws and regulations as well as internal policies and group-wide practices.Roles & responsibilitiesCommercial ContractsProvide legal support to MHI-AP Business Units, MHI-AP subsidiaries and MHI Group companies in APAC & India region including answering to inquiries on various legal matters.Draft / review / negotiate commercial contracts (EPC Projects, JV, M&A, etc) to strengthen commercial relationships and to appropriately manage legal and business risks.Dispute resolution including litigation, adjudication and arbitration.Manage potential and actual disputes including litigation, adjudication, mediation and arbitration processes.Provide commercial, strategic, comprehensive and solution-focused legal guidance.Formulate queries and seek advice from external counsels and consultants.Negotiate contracts and claims with customers and suppliers.Providing legal advice to management and the relevant departments in Japanese and English.Shareholders/Board Resolution and other Corporate Secretarial mattersLiaise with company secretary and directors, shareholders to facilitate Board resolutions, shareholders resolutions and other corporate secretarial matters; Incorporation of overseas subsidiaries.Research, Compliance & othersSupport MHI HQ Legal to promote & ensure compliance with laws and company regulations (on competition, anti-corruption and export control laws, etc) for MHI Group companies in the region.Conduct research, attend seminars and keep abreast with business laws and legal requirements.Conduct legal training for MHI-AP/MPW-AP or to any MHI group companies.Draft, finalize and implement Company regulations from time to time.Corporate StrategyCommunicate with and support Group companies in APAC region and India as well as MHI HQ Geostrategy & International Affairs Department.Bridge over the relevant departments, including follow-up of their action plans.Support chief regional officers’ activities.Develop MHI-AP business plans.Manage administrative matters for MHI HQ management’s visit.Organize MHI-AP monthly report in Japanese and report to MHI HQ.Compliance related mattersCheck and approve compliance related applications from the relevant departments (for export, entertainment, contracting with subcontractor, etc.).Conduct compliance training for MPW-AP and its associated companies.Maintain and update compliance related company regulations.Attend to whistleblowing.Support MHI HQ’s internal audits.RequirementsBachelor of LawsMultiple years of experience on: (i) contracting and claim management in the construction/EPC and manufacturing industries; (ii) corporate governance; and (iii) legal complianceRequired to be familiar with strategic planning and corporate management.Good interpersonal and communications skillsAbilities and open-mindedness to work with multi-nationalitiesBasic knowledge on business managementUnderstanding of business conditions through data and indexes to develop the company’s business planComprehensive knowledge on management of MHI/MHI-AP businessesProficiency in Japanese Language (JLPT N1 or equivalent level) for communication with HQ/Business Domains and also eligible to explain legal issues in Japanese.Strongly recommended to have bar admissionInternational travelling is requiredQualified attorney #J-18808-Ljbffr
