Corporate Legal Counsel (in-house) £120K-£140K + bonus London - hybrid working

Seeking an experienced corporate lawyer to support M&A plan, equity arrangements, and other corporate projects.

Supporting Group acquisition activity including: Assisting Corporate Development team with early stage activities eg NDAs, exclusivity arrangements, heads of terms and high level due diligence Managing all legal aspects of acquisition process, including: Liaising with external counsel Co-ordinating legal due diligence and acting as the legal liaison for inter-connects with other functions, such as Finance, HR, Risk and IT Supporting transaction negotiations and completion of Leading legal aspects of post-acquisition integration Advising on post-acquisition aspects eg earn-out, management incentive schemes, etc and adjustments to them

Oversight of management equity schemes which consists of a mixture of strip and incentive equity, which are widely distributed amongst management. This includes legal oversight of: New issues of strip and incentive equity Buy back arrangements for leavers Valuations Providing guidance and advice to Share Plan Manager
