MNK Group is seeking an experienced and commercially minded Senior Legal Counsel – M&A & Corporate Transactions to join our Legal team on a full‑time basis in London. Reporting directly to the General Counsel, this role is central to supporting the Group’s strategic growth through acquisitions, divestitures, and complex reinsurance transactions.

About the Role
The Senior Legal Counsel will act as a trusted advisor to the General Counsel and wider business, providing expert legal support across all phases of corporate and transactional activity. This includes leading legal workstreams for M&A transactions, conducting and reporting on due diligence, drafting and negotiating key documentation, and supporting regulatory engagements.
The role requires strong technical capability, sound judgement, and the ability to navigate legal and regulatory complexities within the financial and insurance sectors. The successful candidate will work closely with the M&A team, operational leaders, and external counsel to ensure seamless execution of transactions and effective post‑acquisition integration.
Responsibilities
Transactional Legal Support
Advise the General Counsel and business on acquisitions, divestitures, reinsurances, and joint ventures
Lead legal due diligence, identifying and assessing key legal and regulatory risks
Provide clear assessments of potential financial exposures and propose mitigation strategies
Prepare comprehensive legal due diligence reports for the M&A team
Documentation & Negotiation
Draft, review, and negotiate a wide range of transactional documents, including:
Stock Purchase Agreements (SPAs)
Reinsurance and retrocession agreements
Trust agreements
Financing documentation (bank facilities, subordinated debt)
Shareholder and board resolutions
Ensure compliance with all conditions precedent across SPAs, reinsurance agreements, and financing arrangements
Regulatory Engagement
Support the preparation of regulatory change‑of‑control applications, including run‑off business plans and schemes of operation
Liaise with regulators to secure timely approvals and ensure ongoing compliance
Assist acquired entities in obtaining capital releases where required
Support the alignment and enhancement of legal processes across acquired entities
Strengthen information flow between the M&A deal team and operational integration teams
Commercial & Operational Legal Support
Review TOBAs, NDAs, binding authority agreements, distribution agreements, and fronting arrangements
Review claims handling agreements and claims authority arrangements
Review commercial contracts including IT agreements, IP arrangements, leases, engagement letters, and service agreements
Regulatory Queries & External Counsel Management
Assist with regulatory queries across multiple jurisdictions
Instruct and coordinate with local counsel to ensure consistent, high‑quality legal advice
Qualifications
Education & Experience
Qualified lawyer with 3+ years’ post‑qualification experience from a top‑tier law firm or in‑house environment
Strong background in corporate insurance or complex M&A within financial services
Strong academic credentials
Experience within financial services institutions is advantageous but not essential
Required Skills
Strong interpersonal skills and the ability to work collaboratively across jurisdictions
High level of attention to detail and strong organisational capability
Excellent written and verbal communication skillsAbility to manage multiple workstreams and meet tight deadlines
Proficiency in Microsoft Word, Excel, and PowerPoint
Ability to build strong relationships with senior leadership, regulators, and internal stakeholders
Commercial awareness and the ability to contribute to informed business decision‑making
