About The RoleQuantum Light is seeking an exceptional Head of Legal to serve as the company's top legal authority and architect of our global investment platform. Reporting directly to the fund’s CEO, you will continue building and leading a best‑in‐class legal function. As a key member of the executive team, you will contribute to define and execute Quantum Light’s long‑term business strategy, identifying and mitigating future legal risks associated with global expansion and new product launches.Key ResponsibilitiesDraft and refine the template Limited Partnership Agreements (LPAs), Private Placement Memorandums (PPMs), Advisory Agreements and other offering documents used within the Quantum Light platform.Provide strategic legal advice on fund formation, offering mechanics, and managing complex investor side letter negotiations to ensure consistency and mitigate risks related to preferential treatment.Manage global licensing strategy and cross‑jurisdictional legal structures, acting as the primary liaison with regulators (e.g., FCA and SEC) and ensuring institutional‑grade precision.Challenge and support the structuring and negotiation of commercial deals, M&A activity, and strategic partnerships, balancing legal risk with pragmatic business objectives.Drive the automation of routine legal workflows and implement AI‑powered solutions to enhance the speed and accuracy of the legal department.Advise on corporate governance matters, equity administration, employment matters, IP, AI Governance and data privacy.Oversee the firm's comprehensive enterprise legal risk and compliance program, setting the global standard for ethical conduct and adherence to regulatory frameworks.Oversee all periodic regulatory reporting requirements for the funds across multiple jurisdictions, ensuring timely and accurate submission.Professional RequirementsLaw Degree from a premier law school and admission to practice in a major common‑law jurisdiction (UK or US preferred).7–13 years of PQE with a mix of experience in the fund practice of a top‑tier international law firm and in‑house experience at a fast‑paced PE/VC fund.Demonstrable expertise in advising on and structuring a variety of fund vehicles, including feeder vehicles, co‑investment vehicles.Proven ability to advise on fund management compensation structures, carried interest, and fee arrangements.Deep understanding of the regulatory landscape for private funds in the UK, EU, US and UAE.Experience coordinating with external tax counsel to advise on the legal implementation of complex tax structuring for both the fund and the management company.Familiarity with the legal aspects of AI and data privacy regulations.Demonstrated experience in managing and optimizing legal budget, including the selection, engagement, and efficient oversight of external counsel globally.Ability to work autonomously and lead the legal team to success without significant oversight.Ability to translate complex legal topics into clear, actionable guidance for leadership and cross‑functional teams. #J-18808-Ljbffr
