The Role: The Defence Division Legal Counsel is an integral member of the legal team which is comprised of the Divisional General Counsel and one other Legal Counsel. The Legal Counsel will support the Division General Counsel and other members of the team in relation to the handling and resolution of all legal, contractual and compliance issues faced by the Division and may also be asked to support matters relating to the work of the other Group companies within James Fisher and Sons plc.
Key Duties & Responsibilities: Proactively support the Division Management, sales and business development teams in the preparation, review and negotiation of customer contracts, agency, cooperation and collaboration agreements to minimize any legal, contractual and compliance exposure. Support management of litigations, disputes, claims and supervising outside legal counsel. Assist in the research into new country set ups and establishment of entities; and restructuring of existing Division/Group entities in accordance with “One James Fisher” philosophy. Provide guidance and assistance to ensure all operations and business activities are carried out in compliance with local laws, regulations and the Group Corporate Policies, Standards and Procedures. Assist with commercial property matters including implementation of new leases, managing termination/expiration of existing leases. Ensure maintenance of the division’s intellectual property and assist in the protection of technology development. Actively participate to the implementation and monitoring of JFS Compliance Program, including training on JFS Corporate Policies, Standards and Procedures in conjunction with and in support of the Head of Ethics and Compliance. Participate to the deployment and implementation of the Group Legal Department strategic initiatives. Work with and provide support to Group functions such as Company Secretarial, Tax, Finance and Insurance Departments.What we’re looking for: You must have the ability to provide commercially focused and pragmatic legal advice against a backdrop of various business challenges in a fast-paced environment. You will be a robust decision maker and be able to communicate confidently with internal and external stakeholders, especially with regard to relaying complex legal advice and ensuring compliance with mandatory requirements. Excellent interpersonal and communication skills both orally and written. Adept at delivering to tight timescales, while managing multiple cases simultaneously. Self-starter, motivated and capable of operating outside comfort zone. Flexible and good team worker, assisting as part of wider group legal team where necessary. Confident in dealing directly with and managing relationships with executive and senior management, directors and other stakeholders across the Group and Division and externally.
Key skills, knowledge and experience: Qualified lawyer with demonstrable experience in an in-house or law firm environment. Capable of adapting legal advice to enable desired commercial outcomes.
