Job Description

Our client, a FTSE 100 operating internationally, with a broad and complex corporate footprint is seeking a Senior Assistant Company Secretary to join their team for a 12-month FTC.


As Senior Assistant Company Secretary, you will operate with a high degree of independence, take ownership of critical governance activities and provide cover and support to the Deputy Company Secretary as required.


Key responsibilities:

• Provide comprehensive company secretarial support to the listed parent company, ensuring ongoing compliance with applicable UK regulatory and statutory requirements

• Monitor and apply obligations under the Companies Act, Listing Rules, Disclosure Guidance and Transparency Rules and the UK Market Abuse Regulation

• Manage insider and restricted information processes, including the maintenance of relevant registers

• Prepare and coordinate market announcements and dividend-related documentation for release via the London Stock Exchange

• Take responsibility for the administration and governance of a large international subsidiary portfolio

• Ensure statutory filings and records are kept up to date across relevant jurisdictions, including the UK and Ireland

• Coordinate subsidiary board activity, including meeting schedules, agendas, minutes, resolutions and follow-up actions

• Support group-wide corporate activity, including restructurings, integrations following acquisitions and related compliance work

• Contribute to the production of the annual report, with particular responsibility for governance and remuneration disclosures and shareholder communications

• Act as committee secretary for selected board committees, including risk, tax and treasury forums


To be considered for the role you should:

  • Be a full or part qualified Company Secretary
  • Have experience working in a listed company
  • Be immediately available or available at short notice
  • Have strong technical understanding of UK corporate governance and regulatory frameworks
  • Have proven experience managing subsidiary governance within a large multinational group
  • Be a confident user of entity management systems and standard office software
  • Be comfortable engaging with senior executives, advisers and cross-functional stakeholders
  • Be pragmatic and adaptable, with a willingness to take a hands-on approach to a wide range of tasks
  • Have strong written and verbal communication skills, including across multiple jurisdictions
